Notice Pursuant to Section 61(a)(2) On December 30, 2021, CION Investment Corporation (the “Company”) held its special meeting of shareholders, at which the shareholders of the Company approved the application of the reduced asset coverage requirements set forth in Section 61(a)(2) of the Investment Company Act of 1940, as amended by the Small Business Credit Availability Act, to the Company. Commencing on December 31, 2021, the Company will be required to maintain asset coverage for its senior securities of 150% (i.e., $2 of debt outstanding for each $1 of equity) rather than 200% (i.e., $1 of debt outstanding for each $1 of equity), which would permit the Company to increase the maximum amount of leverage that it is permitted to incur.
